- “Services” means the Civilbolt platform, website (civilbolt.ai), web application, AI-powered tools, and all related features and functionalities.
- “User,” “you,” “your” refers to any individual or entity accessing or using the Services.
- “Account” means your registered user account on the platform.
- “Content” means all text, documents, files, images, data, and materials uploaded, created, or accessed through the Services.
- “Subscription” means a paid plan that grants access to premium features.
- “Intellectual Property” means patents, trademarks, copyrights, trade secrets, and any other proprietary rights.
2. Acceptance of Terms
By creating an account, accessing the website, or using any part of the Services, you:
- Acknowledge that you have read, understood, and agree to be bound by these Terms
- Agree to comply with our Privacy Policy (incorporated by reference)
- Represent that you are at least 18 years old and have the legal capacity to enter into this agreement
- If registering on behalf of a company, represent that you have authority to bind that organization
Important: If you do not agree to these Terms, you must immediately cease using the Services and delete your account.

Service Availability: We strive to maintain high availability but do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
4. Account Registration and Security
4.1 Registration Requirements
To use our Services, you must:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Use your real name and valid business details (no fake accounts)
- Comply with applicable laws and regulations in India
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your password and login credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized access or security breach
- Using strong passwords and enabling two-factor authentication (when available)
4.3 Account Restrictions
We reserve the right to:
- Refuse registration or cancel accounts at our discretion
- Limit the number of accounts per individual or organization
- Suspend or terminate accounts that violate these Terms
- Require additional verification for suspicious activity
5. Subscription and Payment Terms
5.1 Subscription Plans
- We offer various subscription plans with different features and pricing
- Pricing is displayed on our website and is subject to change with 30 days' notice
- All prices are in Indian Rupees (INR) unless otherwise stated
- Prices are inclusive of applicable GST (Goods and Services Tax)
5.2 Billing and Payment
- Billing Cycle: Subscriptions are billed monthly or annually in advance
- Payment Methods: Credit/debit cards, UPI, net banking, or other methods we support
- Auto-Renewal: Subscriptions automatically renew unless you cancel before the renewal date
- Failed Payments: If payment fails, we may suspend access until payment is received
- GST Invoice: We provide GST-compliant invoices for all transactions
5.3 Refund Policy
Due to the nature of digital services:
- No Refunds: All payments are non-refundable except as required by law or at our sole discretion
- Pro-Rata Credits: If we terminate your account for reasons other than your breach, we may provide a pro-rated refund
- Free Trial: We encourage using the free trial before subscribing (see Section 6)
- Exceptions: Refunds may be considered for duplicate charges, technical errors, or within 7 days of initial purchase if no usage occurred
5.4 Cancellation
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of your current billing period
- You will retain access to paid features until the end of the billing period
- No refund will be provided for the remaining period after cancellation
Price Changes: We may modify subscription fees with 30 days' advance notice. Changes will apply from your next billing cycle. Continuing to use the Services after the notice period constitutes acceptance.
6. Free Trial
We may offer a free trial period for new users:
- Duration: Typically 14 days (as specified at sign-up)
- Eligibility: One free trial per user/organization
- No Credit Card Required: You can trial without payment information
- Auto-Conversion: If you provide payment details, trial may auto-convert to paid subscription
- Termination: We may terminate free trials at any time for abuse or violation of Terms
- Data Retention: Your data is retained for 90 days after trial expiry (see Privacy Policy)
Promotional Trials: Special promotional trial offers may have different terms, which will be clearly communicated at the time of the offer.
7. Acceptable Use Policy
You agree NOT to use the Services to:
Illegal Activities
- Violate any applicable laws, regulations, or third-party rights
- Engage in fraud, money laundering, or other criminal activities
- Upload illegal, defamatory, or obscene content
- Infringe on intellectual property rights
Security Violations
- Attempt to gain unauthorized access to our systems or other users' accounts
- Introduce viruses, malware, or malicious code
- Interfere with or disrupt the Services or servers
- Bypass security features or access restrictions
Misuse of Platform
- Use the Services for any purpose other than construction contract management
- Scrape, crawl, or harvest data from the platform
- Reverse engineer, decompile, or disassemble the software
- Create derivative works or competing products
- Resell, sublicense, or redistribute access to the Services
Abuse and Harassment
- Harass, threaten, or abuse other users or our staff
- Impersonate any person or entity
- Send spam, unsolicited communications, or phishing attempts
- Upload content that violates others' privacy or confidentiality
Consequences: Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, legal action, and reporting to law enforcement authorities.
8. Intellectual Property Rights
8.1 Our Intellectual Property
Civilbolt and its Services, including the software, code, design, logos, trademarks, algorithms, AI models, features, and all related content (excluding User Content), are owned by us and protected by:
- Indian Copyright Act, 1957
- Trade Marks Act, 1999
- Patents Act, 1970
- Information Technology Act, 2000
- International intellectual property treaties
You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes only. This license does not grant you any ownership rights.
8.2 User Content Ownership
You retain all ownership rights to your Content (contracts, documents, data). By uploading Content to our platform, you grant us a limited license to:
- Store, process, and display your Content to provide the Services
- Use AI to analyze, extract information, and generate insights from your Content
- Create backups and copies necessary for service delivery
- Use aggregated, anonymized data (that cannot identify you) to improve our Services
This license is limited to providing the Services and terminates when you delete Content or close your account.
8.3 Restrictions
You may NOT:
- Copy, modify, or create derivative works of our software
- Reverse engineer or decompile our platform
- Remove or modify any copyright, trademark, or proprietary notices
- Use our trademarks or branding without written permission
- Claim ownership of any part of our platform or AI models
Feedback & Suggestions: If you provide feedback, ideas, or suggestions about our Services, you grant us a perpetual, irrevocable, royalty-free license to use and implement such feedback without compensation or attribution.
9. User Content and Data
9.1 Your Responsibilities
You represent and warrant that:
- You own or have the necessary rights to upload and use your Content
- Your Content does not violate any third-party rights or applicable laws
- You have obtained necessary consents to upload confidential or personal information
- Your Content is accurate and not misleading
9.2 Our Rights and Limitations
We reserve the right to:
- Remove Content that violates these Terms or applicable laws
- Monitor Content for compliance and security purposes
- Implement storage limits (e.g., maximum file sizes, total storage)
- Delete inactive accounts and associated Content after notice
Important: We are NOT responsible for reviewing, monitoring, or verifying the accuracy of your Content. We do not endorse any user Content.
9.3 Data Export and Portability
- You can export your Content at any time through our platform
- Data is provided in standard formats (PDF, JSON, CSV)
- Export features may be limited during free trials
9.4 Backup and Data Loss
While we maintain reliable backup systems:
- We are not liable for data loss due to user error, deletion, or system failures
- You should maintain your own backups of important documents
- Deleted Content may be recoverable for 90 days (not guaranteed)
10. AI Services and Disclaimer
IMPORTANT AI DISCLAIMER: Civilbolt uses artificial intelligence to analyze contracts and generate content. AI-generated content is NOT legal advice, professional advice, or a substitute for expert consultation.
10.1 AI Limitations
You acknowledge and agree that:
- AI systems may make errors, provide inaccurate information, or misinterpret content
- AI-generated letters, notices, or documents must be reviewed by qualified professionals before use
- AI cannot replace human judgment, legal expertise, or professional advice
- AI performance depends on data quality; poor input may result in poor output
- AI models are continuously updated and results may vary over time
10.2 Your Responsibilities
- Always review AI output: Never use AI-generated content without human review
- Verify critical information: Cross-check important dates, amounts, and legal references
- Seek professional advice: Consult lawyers, engineers, or specialists for complex matters
- Do not rely solely on AI: Use AI as a tool to assist, not replace, professional judgment
10.3 No Professional Relationship
Use of our AI Services does NOT create any professional relationship (lawyer-client, consultant-client, etc.) between you and Civilbolt. We are a technology provider, not professional service providers.
Indemnity: You agree to indemnify us against any claims arising from your use or misuse of AI-generated content, including reliance on AI output without proper review or professional consultation.
11. Warranties and Disclaimers
11.1 Your Warranties
You represent and warrant that:
- You have the legal right and authority to enter into this agreement
- Your use of the Services complies with all applicable laws
- You will not use the Services for illegal or unauthorized purposes
- All information you provide is accurate and current
11.2 DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by law, we disclaim all warranties, including:
- Merchantability, fitness for a particular purpose, and non-infringement
- Accuracy, reliability, or completeness of the Services or Content
- Uninterrupted, secure, or error-free operation
- Results obtained from using the Services
- Correction of defects or errors
Some jurisdictions do not allow disclaimer of implied warranties. In such cases, our disclaimer is limited to the extent permitted by law.
11.3 No Guarantee of Results
We do not guarantee that:
- Use of our Services will result in cost savings, time savings, or revenue recovery
- AI analysis will be accurate or identify all risks and obligations
- You will win claims, disputes, or adjudications
- The platform will meet your specific requirements
12. Limitation of Liability
CRITICAL LEGAL PROVISION - PLEASE READ CAREFULLY
TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW:
1. EXCLUSION OF LIABILITY
Civilbolt, its directors, employees, affiliates, and service providers SHALL NOT BE LIABLE for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Business interruption or loss of use
- Errors in AI analysis or generated content
- Missed deadlines, claims, or contractual obligations
- Legal disputes arising from your use of AI-generated content
- Data breaches or unauthorized access (except due to our gross negligence)
- Third-party actions or content
2. CAP ON LIABILITY
Our total aggregate liability for all claims arising from your use of the Services SHALL NOT EXCEED the greater of:
- The amount you paid to us in the 12 months preceding the claim, OR
- ₹10,000 (Ten Thousand Indian Rupees)
3. EXCEPTIONS
This limitation does NOT apply to liability that cannot be excluded under Indian law, including:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Willful misconduct or gross negligence
You acknowledge that these limitations are reasonable given the nature of the Services and the fees charged. If you do not agree with these limitations, you should not use our Services.
13. Indemnification
You agree to indemnify, defend, and hold harmless Civilbolt, its directors, officers, employees, contractors, affiliates, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Services
- Your violation of these Terms or applicable laws
- Your Content or any intellectual property infringement related to it
- Your reliance on AI-generated content without proper review
- Disputes with other users or third parties
- Breach of your representations and warranties
- Any claims that your use of the Services caused harm to a third party
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.
14. Termination and Suspension
14.1 Termination by You
You may terminate your account at any time by:
- Canceling your subscription through account settings
- Contacting our support team to request account closure
- Ceasing to use the Services
Upon termination, you will lose access to your account and Content. We will retain your data for 90 days (for recovery purposes) before permanent deletion.
14.2 Termination or Suspension by Us
We may suspend or terminate your account immediately without notice if:
- You violate these Terms or our Acceptable Use Policy
- You engage in fraudulent or illegal activity
- Your payment fails or your account is past due
- We are required to do so by law or court order
- We believe your account poses a security risk
- You abuse or harass our staff or other users
14.3 Effect of Termination
Upon termination:
- Your right to access and use the Services immediately ceases
- You must stop using our platform and delete any downloaded materials
- Outstanding fees become immediately due and payable
- Sections that by their nature should survive (liability, indemnification, governing law) remain in effect
- We may delete your Content after the retention period (see Privacy Policy)
No Refund on Termination: Termination does not entitle you to a refund of subscription fees already paid, except as required by law or in cases where we terminate without cause.
15. Confidentiality
15.1 Your Confidential Information
We recognize that your contracts, project documents, and business information (“Confidential Information”) are sensitive. We agree to:
- Maintain confidentiality of your information
- Use it only to provide the Services
- Not disclose it to third parties (except as permitted in our Privacy Policy)
- Implement reasonable security measures to protect it
15.2 Exceptions
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available (not through our breach)
- We are legally required to disclose
- You authorize us to disclose
- Is aggregated and anonymized (cannot identify you)
15.3 Our Confidential Information
Our software, algorithms, AI models, business processes, and pricing information are our confidential and proprietary information. You agree not to disclose or use this information except as necessary to use the Services.
16. Modifications to Services and Terms
16.1 Changes to Services
We reserve the right to:
- Add, modify, or discontinue features or functionality
- Update the platform to improve performance or security
- Change service specifications, APIs, or integrations
- Impose usage limits or restrictions
We will provide reasonable notice for material changes that negatively impact your use of the Services.
16.2 Changes to Terms
We may update these Terms from time to time. When we do:
- We will update the “Last Updated” date
- For material changes, we will notify you via email or platform notification
- Changes take effect 30 days after notice (or immediately for legal/security reasons)
- Continued use after the effective date constitutes acceptance
If you do not agree with the updated Terms, you must stop using the Services and cancel your account before the effective date.
17. Governing Law and Jurisdiction
These Terms and your use of the Services are governed by the laws of India, including but not limited to:
- Indian Contract Act, 1872
- Information Technology Act, 2000 and rules thereunder
- Digital Personal Data Protection Act, 2023
- Consumer Protection Act, 2019
- Copyright Act, 1957
- Other applicable Indian laws and regulations
Jurisdiction: Subject to the arbitration clause below, the courts of Gurugram, Haryana, India shall have exclusive jurisdiction over any disputes arising from these Terms.
International Users: If you access the Services from outside India, you are responsible for compliance with local laws. By using our Services, you consent to the application of Indian law and the jurisdiction of Indian courts.
18. Dispute Resolution
We encourage resolving disputes amicably. If a dispute arises, we require the following process:
Step 1: Informal Negotiation
Contact us at support@civilbolt.ai with details of your complaint. We will work in good faith to resolve the issue within 30 days.
Step 2: Mediation
If informal negotiation fails, both parties agree to attempt mediation before initiating formal proceedings. Mediation will be conducted by a mutually agreed mediator in accordance with Indian mediation practices.
Step 3: Arbitration
If mediation fails, any dispute shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996:
- Seat of arbitration: Gurugram, Haryana, India
- Language: English
- Number of arbitrators: One (1)
- Arbitrator appointment: Mutually agreed, or as per Arbitration Act
- Each party bears its own costs; arbitrator fees split equally
The arbitration award shall be final and binding, enforceable in any court of competent jurisdiction.
Step 4: Court Proceedings (If Applicable)
Certain disputes (e.g., intellectual property infringement, injunctive relief) may bypass arbitration and be filed directly in courts of Gurugram, Haryana, India.
Class Action Waiver: To the extent permitted by law, you agree to resolve disputes on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative proceedings.
19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Civilbolt and supersede all prior agreements and understandings.
19.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
19.3 No Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
19.4 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any successor or affiliate without restriction.
19.5 Force Majeure
We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, or shortages of transportation, fuel, energy, labor, or materials.
19.6 Notices
We may provide notices to you via email (to your registered email address), platform notifications, or by posting updates on our website. You agree that electronic notices satisfy any legal requirement for written notices.

Our Services may integrate with third-party services (payment gateways, cloud storage, etc.). Your use of third-party services is subject to their own terms and policies. We are not responsible for third-party services.

These Terms are drafted in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.
